Key UK Legal Review Points

ClauseCritical Legal Consideration for the UKAction Required / Legal Review
4. Acceptable UseThe prohibitions must clearly demarcate the Platform from illegal activities like prostitution (under the Sexual Offences Act 2003) and solicitation. Wording must be precise to avoid being deemed complicit.A UK solicitor should ensure the listed prohibitions align with current UK case law and statute to maximise the Platform’s defence under the “mere conduit” principle of the E-Commerce Regulations 2002.
5. Platform LiabilityMust robustly establish the Platform as a neutral intermediary to benefit from liability protections under UK e-commerce and hosting laws. The “assumption of risk” clause is key.Ensure operational practices (e.g., reactive moderation based on user reports) match this stated role to maintain the legal defence.
10. Limitation of LiabilityUnder the Consumer Rights Act 2015, terms that look to exclude liability for death/personal injury caused by negligence are void. Liability caps for other losses must be fair and reasonable (Unfair Contract Terms Act 1977).The £100 cap may be deemed unfair, especially if a User incurs significant demonstrable loss due to the Platform’s clear failure. A solicitor must advise on an appropriate and defensible limitation.
12. Governing LawSpecifying English law and courts is standard and recommended for a .co.uk domain. The reference to the EU ODR platform remains relevant for consumer awareness post-Brexit.Confirm the business entity operating the Platform is subject to jurisdiction in England and Wales.
Integration with Privacy PolicyThese Terms must be fully consistent with the separate Privacy Policy, especially regarding data use, user responsibilities, and grounds for account termination.Present both documents for separate, explicit user acceptance during registration (unchecked checkboxes).
